Contracts Advisor

Based primarily in one of Interocean’s UK based offices (Glasgow/Aberdeen), the Contracts Advisor will report to the Commercial Manager and lead the development and management of contractual agreements and processes across all areas of the business, in line with legal requirements and company policies.

 

Responsibilities:

  • Contract Drafting and Review: Draft, review, and negotiate contracts, including service agreements, sales contracts, and non-disclosure agreements.  Analyse legal provisions, including obligations, liabilities and indemnities in agreements proposed by clients and subcontractors, and propose amendments that adequately protect the company’s financial and reputational interests
  • Legal Compliance: Ensure all contracts comply with relevant laws, regulations, and internal policies. Stay informed about legal changes that could impact contract terms and company policies
  • Risk Management: Identify potential risks in contract terms and develop mitigation strategies. Advise management on compliance and risk management issues.  Assist in risk profiling the business operations and ensure adequate insurance cover is provided
  • Collaboration: Work closely with internal departments such as legal, finance, procurement, and operations to ensure contract terms meet organisational goals
  • Contract Management: Manage live contracts and raise any issues, such as obligations not being met by one or more parties, with the contract owner and line manager.  Maintain the contracts database to track all relevant provisions, including rate adjustment mechanisms and contract validity
  • Dispute Resolution: Assist in resolving contractual disputes and provide guidance on contract enforcement and termination procedures
  • Documentation: Maintain organised records of all contracts and related documents. Ensure all executed contracts are properly stored and accessible
  • Training and Support: Provide training and support to staff on contract-related processes and best practices. Serve as a point of contact for contract inquiries and guidance

 

Key Competencies:

  • Flexible and adaptable with an aptitude for critical thinking
  • In-depth knowledge of contract law and legal terminology
  • Excellent command of the English language both verbally and written, with proven negotiation and mediation skills
  • Highly proficient and accurate in the use of Microsoft Office suite and CRM tools. Ability to manage multiple tasks and deadlines in a fast-paced environment

 

Education and Experience:

  • Education: Bachelor’s degree in law, Business Administration, or a related field. A master’s degree or relevant certification (e.g., Certified Commercial Contracts Manager) is preferred
  • Experience: Minimum of 3 years of experience in contract management, legal advisory, or a related field
